Digital Product License & Terms

Effective September 4, 2026 Version 1.0

These terms apply to eligible digital products distributed by Nox-Labs, including templates, spreadsheets, workbooks, HTML tools, graphics, documentation, and related digital files. A product may include its own additional or different terms, as explained below.

The short version

You may

  • Use the product personally
  • Use it inside your own business
  • Customize it for your own use
  • Use legitimate output you create commercially
  • Keep reasonable personal backups

You may not

  • Resell the source or template
  • Share or redistribute the download
  • Repackage it as your own product
  • Sell modified copies of the underlying template or tool
  • Upload the source files to another marketplace

This summary is provided for convenience. The full terms below control.

1. License grant

Unless a specific product states otherwise, your purchase gives you a limited, non-exclusive, non-transferable license to use that digital product for your own personal purposes or your own internal business operations.

Your purchase does not transfer copyright, title, or ownership of the product or its underlying source materials to you. Rights not expressly granted by these terms remain with their respective creator or rightsholder.

2. Modification

You may modify the product for your permitted use. This can include changing colors, adding your branding, altering layouts, editing formulas, customizing fields, or modifying code for internal use.

Customization does not create resale rights. Changing a product does not give you permission to redistribute, sublicense, or sell the underlying template, tool, source files, or a substantially equivalent replacement.

3. Commercial output is allowed

You may commercially use legitimate work or output that you create with the product, where appropriate. The key distinction is between the source product you purchased and the result you create with it.

Source or template product

The reusable spreadsheet, template, tool, code, graphics package, or other downloaded source. You may use and customize it, but you may not resell or redistribute it.

Output created with the product

A completed proposal, invoice, PDF, calculation, report, branded client document, stream, or video produced through legitimate use. You may use that output commercially.

For example, a freelancer may send generated proposals, invoices, PDFs, or branded documents to clients. A business may use reports, calculations, and customized documents in normal operations. A streamer may use purchased visual assets in their own streams or videos when the applicable product license permits it.

This permission covers the resulting work or output. It does not permit resale of the original source package, a modified template, or a competing digital product built from the purchased files.

4. No resale or redistribution

You may not:

  • resell or redistribute the original files;
  • share the downloadable package publicly or upload it to a file-sharing site;
  • repackage the product for resale or upload it to another marketplace;
  • sublicense the underlying template, tool, or source package;
  • sell a modified version as a competing digital product;
  • distribute a substantially equivalent derivative template package; or
  • claim authorship or ownership of the underlying Nox-Labs product.

Cosmetic or limited edits—such as changing colors, logos, filenames, wording, or a few formulas—do not turn the underlying product into a new product that you may resell or redistribute.

5. Backups

You may make reasonable backup copies for your own permitted use. A backup does not create an additional license and may not be shared, transferred, sold, or redistributed.

6. Purchaser and business use

The standard license applies to one purchaser and, where appropriate, that purchaser’s own business and internal operations. It does not authorize broader redistribution, resale of the template itself to clients, use as a shared template across unrelated companies, or marketplace distribution.

Those broader uses require separate written permission from the appropriate rightsholder.

7. Third-party material

A product may include third-party components, open-source software, fonts, icons, or other separately licensed material. Those items remain governed by their respective licenses. These terms do not replace or override valid third-party license terms.

8. Product-specific terms

A product listing, README, LICENSE file, or accompanying documentation may include additional or different license terms. When product-specific terms explicitly differ from this standard license, the product-specific terms control for that product.

9. No professional advice

Nox-Labs products may include business templates, financial calculations, spreadsheets, agreement or statement-of-work starters, planning tools, or operational tools. These products are general tools and templates—not a substitute for legal, tax, accounting, financial, or regulatory advice.

You are responsible for reviewing the product and its output for your specific circumstances and for seeking qualified professional advice when appropriate.

10. Accuracy and customer responsibility

Digital products may contain formulas, examples, defaults, sample data, or assumptions that do not fit every situation. You are responsible for:

  • reviewing the information you enter and the output you receive;
  • verifying important calculations and results;
  • testing any version you customize;
  • confirming that the product and its output fit your needs; and
  • maintaining backups of your own data.

11. Warranties

Digital products are provided “as is” and “as available” to the extent permitted by applicable law. While care may be taken in creating and maintaining them, no guarantee is made that every product will be error-free, uninterrupted, or suitable for every purpose.

Nothing in these terms limits warranties, rights, or remedies that cannot lawfully be limited.

12. Limitation of liability

To the extent permitted by applicable law, Nox-Labs and the product’s respective creator or rightsholder are not responsible for indirect, incidental, special, or consequential losses resulting from use of—or inability to use—a digital product.

Nothing in these terms excludes rights or protections that cannot lawfully be excluded.

13. Refunds

Refund eligibility is governed by the applicable product listing, Gumroad’s systems and policies, and applicable law. These terms do not promise an automatic refund or impose an absolute no-refund rule.

14. Termination for breach

Your license may terminate if you materially violate the license, resale, or redistribution restrictions in these terms. If that happens, you must stop the unauthorized use or distribution and remove any publicly shared or marketplace copies under your control.

Termination does not affect rights or remedies that have already arisen under applicable law.

15. Copyright and ownership

Unless otherwise indicated, the original product design, source files, documentation, templates, code, graphics, and other original Nox-Labs materials remain the intellectual property of their respective creator or rightsholder. Third-party materials remain the property of their respective owners and are subject to their own licenses.

16. Updates to these terms

Nox-Labs may update this license page for future purchases, to clarify its wording, or to reflect product and legal changes. The version applicable to a purchase is generally the version presented at the time of purchase, unless a later version grants additional rights or applicable law requires otherwise.

A later update will not retroactively remove rights already granted with an earlier purchase.
